Cyprus

Cyprus may suit you if you want an EU base for a holding company, qualifying intellectual property activity or a genuine personal relocation. Its English common-law heritage and euro-denominated economy can make international arrangements easier to understand. The central discipline is substance: your management, residence and banking facts need to support the structure you choose. An incorporation certificate or a short stay cannot, by itself, deliver the advertised tax outcome.

What you can use Cyprus for

A Cyprus Private Company Limited, usually called a Ltd, can hold investments or operate a business within an EU legal framework. The Parent-Subsidiary and Interest-Royalties Directives can be relevant to cross-border payments, subject to their conditions and anti-abuse rules. EU membership provides a framework for analysis, rather than automatic relief for every payment.

If you hold intellectual property, the IP Box may also deserve consideration. Its mechanism provides an 80% exemption on qualifying profits (as of 2026; confirm current rules). The word qualifying matters: owning an IP asset does not establish that every receipt receives that treatment. You need a professional assessment of the activity, income and applicable conditions before incorporating it into financial projections.

How Non-Dom fits your personal position

The Non-Domiciled, or Non-Dom, regime exempts qualifying residents from Special Defence Contribution on dividends and interest. That is a specific exemption from a specific charge. It should not be presented as an exemption from every possible tax or contribution connected with your income.

Tax residence and Non-Dom status are related but separate questions. Cyprus has a shorter-presence residence route often discussed in international planning, but a day count alone is not a complete eligibility test. Your ties, activities, accommodation and position in other countries need review against the full current rules.

You should also distinguish your personal position from that of a Cyprus company. A company can have its own tax obligations even when its shareholder qualifies for Non-Dom treatment. The classification of a payment matters, as does the treatment it receives wherever you remain taxable.

Advantages and limitations

  • You can combine EU legal infrastructure with an established international company-services environment.
  • The common-law heritage can be familiar if your existing business uses similar legal concepts.
  • Holding-company and IP planning may be useful where the underlying activities meet the relevant conditions.
  • A small island economy offers a narrower local market and talent pool than a major continental business centre.
  • Genuine local management and continuing administration create costs that belong in your business plan.
  • Banking scrutiny can be demanding, especially where ownership or cross-border connections require enhanced checks.

Banking, management and timing

Start with a banking assessment alongside the proposed company structure. A bank needs a coherent explanation of the owners, wealth origin and intended transactions. If you are creating a holding company, explain what it holds and where incoming and outgoing funds will come from. If you are operating a business, show how that activity relates to Cyprus.

Local directors are not a substitute for genuine management. Your decision-making arrangements should match what actually happens, with professional advice on the substance required. A structure that exists only in paperwork can create anti-abuse concerns and make the banking story harder to support.

Allow the bank's review and the professional assessment to inform your implementation sequence. Incorporation, account opening and relocation do not necessarily conclude together. Avoid signing commercial commitments on the assumption that a newly formed company will immediately have fully operational banking.

Residency and common misconceptions

Income-based and investment-related residence options require their own eligibility checks. A residence permission does not settle your tax position, and buying property should not be treated as buying citizenship. The citizenship-by-investment programme is suspended. Any eventual naturalisation plan needs a separate current-law review.

Property due diligence is particularly important where the island's unresolved political division affects title or location. Your residence objective should not crowd out ordinary checks on ownership and transaction risk.

Cyprus also participates in CRS, FATCA and EU reporting arrangements. Neither Non-Dom treatment nor a company structure creates anonymity. You should plan for accurate ownership information and consistent tax-residence declarations across your accounts.

Who fits, and what to prepare

You may fit Cyprus if you want a credible EU business or residence base and can support genuine local activity. It may be unsuitable if you want a paper holding company, guaranteed banking or a citizenship shortcut.

Prepare your ownership chart, income categories, residence history, proposed management arrangements and business purpose. Identify the assets and transactions that would move, together with the obligations that remain elsewhere. FNC considers your circumstances case by case and coordinates specialist review before recommending how personal residence, company ownership and banking should fit together.

General information, not legal, tax or investment advice. Your qualified advisers must confirm the rules for your circumstances. No banking, residence, citizenship or tax outcome is guaranteed. US citizenship carries continuing tax and reporting obligations.
