Singapore

Singapore can serve as a practical base when your customers, investments or management team are in Asia and you want established banking, a common law environment and regional connectivity. The case becomes stronger when the business has real work to do there. If your main objective is a company address with little activity behind it, the tax, immigration and banking requirements can undermine the expected benefit.

Company and fund structures

A Private Limited company, commonly called a Pte Ltd, is the standard corporate vehicle for many operating businesses. It requires a Singapore-resident director and a shareholder. You should plan who will make decisions, where the business will operate and how the local governance arrangements will function in practice.

The Variable Capital Company, or VCC, is a separate vehicle designed for funds. It should be assessed against the investment strategy, management arrangements and applicable regulatory requirements. A fund vehicle does not perform the same job as an ordinary company selling products or services.

Singapore's common law system and international arbitration infrastructure can be useful for regional contracts. Its transport connections, professional services and talent pool also support a regional headquarters. These advantages are most relevant when your operating model uses them, rather than merely borrowing the jurisdiction's reputation.

Tax rates and conditional incentives

The headline corporate income tax rate is 17% (as of 2026; confirm current rules). Exemptions and incentives may change the result for particular income, but they require a closer analysis than calling all foreign revenue exempt. Where income arises, how it is received and whether the relevant conditions are met all matter.

Personal income tax is progressive, with a top rate of 24% (as of 2026; confirm current rules). That makes your compensation and residence position a distinct part of the planning. A favourable result for a company or fund does not establish the same result for its owner.

The Section 13O and Section 13U fund tax incentive schemes can provide exemptions for qualifying investment income where their conditions are satisfied. They are conditional regimes, not a general tax concession for every family office. The fund, management arrangements, local substance and continuing compliance need to fit the selected scheme.

You should be able to explain the origin of family wealth and the purpose of the investment structure. Incentive eligibility needs its own assessment, including the applicable investment, staffing and expenditure conditions. Forming an entity or describing it as a family office does not amount to approval.

Banking and information exchange

Singapore has an extensive corporate, investment and private banking sector with multi-currency capabilities. Access still depends on the bank's assessment of your ownership, source of funds, activities and intended transactions. A transparent structure and a clear reason to bank in Singapore make the application easier to understand, without guaranteeing acceptance.

The jurisdiction participates in CRS and FATCA arrangements. An account should be treated as part of your disclosed international financial position. It does not remove reporting obligations in the countries where you or your entities are taxable.

Residence is a separate application

The Employment Pass, EntrePass and Global Investor Programme address different applicant profiles. Your intended work, business history and investment plans determine which route merits examination. Incorporation should not be treated as an automatic right to live or work in Singapore.

Common misconceptions

Permanent residence and citizenship are also separate decisions. Citizenship is discretionary, and Singapore does not permit adult dual nationality. If retaining your current citizenship matters, that constraint belongs in the initial discussion rather than after you have organised your life around a future passport.

Advantages and limitations

  • Singapore can support regional management, investment activity and banking in an established commercial environment.
  • Companies and qualifying funds may benefit from targeted tax provisions, subject to their conditions.
  • Offices, housing, staff and continuing professional administration can create substantial recurring commitments.
  • Family office incentives and immigration routes require substantive eligibility, with approval assessed on the facts.

The jurisdiction can fit owners building an Asian operation and families prepared to maintain a genuine local investment presence. It is less suitable when you need minimal administration, guaranteed residence or a personal tax outcome based solely on incorporation.

Preparing a workable plan

Bring your ownership chart, business activities, customer locations, source-of-wealth evidence and proposed management arrangements. For a family office, include the asset mix and intended investment mandate. Map residence objectives separately from corporate and banking requirements.

FNC delivers Singapore setup through its partner network. The assessment is case by case, with company form, incentives, local substance, banking and immigration considered together. The purpose is to establish whether Singapore can support your actual business or family requirements and what maintaining that position would involve.

General information, not legal, tax or investment advice. Your qualified advisers must confirm the rules for your circumstances. No banking, residence, citizenship or tax outcome is guaranteed. US citizenship carries continuing tax and reporting obligations.
