UAE: ADGM

ADGM can give your holding structure, family wealth arrangement or financial business an English common law framework within Abu Dhabi. Its value depends on the legal work you need the entity to perform: holding assets, setting succession rules and conducting regulated financial activity call for different vehicles and permissions. Choosing the name of the jurisdiction is only the beginning of that decision.

A distinct legal and regulatory framework

Abu Dhabi Global Market directly applies common law and has independent ADGM Courts, a company registry and the Financial Services Regulatory Authority, or FSRA. That framework can be useful when counterparties want familiar company law, documented governance and an established forum for commercial disputes.

Available structures include special purpose vehicles, holding companies, foundations and funds. A passive holding vehicle is not a substitute for permission to conduct financial services. If your proposed activity involves regulated business, the authorisation analysis belongs before incorporation and before you make commitments to clients.

A foundation can support succession planning and the organisation of family assets. Its governing documents need to express who benefits, who makes decisions and how control changes over time. The structure still requires a legitimate purpose and an assessment of how relevant countries treat its assets and distributions.

How an ADGM SPV works

An ADGM special purpose vehicle can hold shares and other assets within a corporate structure. Registration is digital and does not itself require a personal visit. The entity nevertheless needs a registered office in ADGM, and non-exempt SPV applicants must appoint an ADGM-licensed Company Service Provider to fulfil the applicable requirements.

The SPV is intended for passive holding purposes. If your business needs to employ people, provide services or trade with customers, confirm the correct entity and licence instead of stretching a holding vehicle beyond its intended use.

Common misconceptions

Disclosure also depends on the vehicle. Standard limited-company SPVs have public director and shareholder records, while Restricted Scope Companies have different public disclosure rules. Reduced public disclosure does not remove beneficial ownership checks by authorities, service providers or banks. Privacy and concealed ownership are different propositions.

Tax treatment is conditional

ADGM incorporation does not create a blanket exemption from federal corporate tax. A Qualifying Free Zone Person can receive the 0% (as of 2026; confirm current rules) rate on Qualifying Income, with 9% (as of 2026; confirm current rules) applying to other income. Eligibility includes adequate substance, audited financial statements, transfer pricing compliance and the applicable revenue conditions.

Holding shares and securities for investment can be a qualifying activity, but the detailed conditions still matter. A participation exemption for foreign dividends or disposal gains has its own tests. The licence, the type of asset and the legal form cannot replace an income-by-income tax analysis.

Your position outside the UAE remains important. Foreign company ownership can create reporting and tax consequences in your country of residence or citizenship. Family arrangements need particular care where founders, beneficiaries and underlying assets span jurisdictions. Treaty access should be assessed for the specific entity and transaction.

Banking, residence and ongoing administration

Abu Dhabi offers access to corporate and private banking, but each bank decides whether your proposed relationship fits its requirements. Expect questions about ultimate ownership, source of wealth, assets, expected payments and the commercial purpose of intermediate holding companies. An ADGM registration certificate does not guarantee an account.

Residence permissions depend on the entity and immigration route. A passive holding arrangement should not be chosen on the assumption that it automatically supplies employment or investor residence. Where relocation is part of the objective, assess that route alongside the structure and your personal tax residence.

Administration includes the registered office, renewals, required filings and appropriate governance. Financial services authorisation brings additional supervisory obligations. Allow time for the legal design, document review and bank assessment; completing registration does not mean every dependency has been resolved.

Where ADGM fits

  • It can suit families organising succession and owners consolidating international holdings under a common law framework.
  • It can support financial businesses prepared to obtain the permissions their activities require.
  • Its governance and administration may be disproportionate for a simple operating business with no need for these features.
  • It is unsuitable if the objective depends on automatic tax exemption, anonymous ownership or guaranteed creditor protection.

Prepare an asset and ownership map, the purpose of each proposed entity, source-of-wealth evidence and the intended decision-making arrangements. FNC evaluates the structure, regulatory perimeter, tax treatment and banking requirements case by case, with the continuing administration considered before the entity is formed.

General information, not legal, tax or investment advice. Your qualified advisers must confirm the rules for your circumstances. No banking, residence, citizenship or tax outcome is guaranteed. US citizenship carries continuing tax and reporting obligations.
