Putting a holding company above your international businesses changes the ownership chart. It doesn't automatically settle the tax treatment, reporting duties or banking arrangements below it. An ADGM SPV should have a defined holding purpose before you start incorporation.

This is general information. Your CPA and counsel confirm the details for your case.

What an ADGM SPV is built to do

ADGM SPVs are incorporated under the Companies Regulations 2020 and receive a commercial licence for Special Purpose Vehicle activities. Available forms include a standard private company used as a passive holding company and a Restricted Scope Company, or RSC, with different public-disclosure requirements. 1

Draw the proposed ownership before selecting the vehicle. Identify each subsidiary, asset and owner, then state why the holding layer is needed. That exercise should distinguish the holding function from the work performed by operating companies. It also gives the people preparing the documents a concrete structure to evaluate.

ADGM permits applications from individual investors and several types of organizations, including corporates, trustees and single family offices. Registration is digital and doesn't require a personal visit. That is a statement about registration, not a promise that every banking or residency step in your wider plan can be completed remotely. 1

A service provider and registered office are part of the plan

Non-exempt SPV applicants must appoint an ADGM-licensed Company Service Provider, which also supplies the mandatory registered office on Al Maryah Island. Establish whether an exemption applies before comparing proposals that include different levels of service. 1

ADGM's January 2025 Specialized-category schedule, which includes SPVs, lists $1,900 initially and $1,400 on annual renewal, plus the $100 confirmation statement. Use those as dated authority fees and confirm the current figure. Request the service-provider cost separately so that you can distinguish the authority's schedule from the total proposal. 2

A useful budget names every recurring task and its owner. The holding company's annual work shouldn't depend on someone remembering what was discussed during formation. Keep the fee schedule, engagement scope and filing calendar together so they can be reviewed before each renewal.

Public disclosure depends on the form

ADGM's SPV materials state that LTD SPVs have public director and shareholder records, while RSC SPVs don't. Beneficial ownership isn't publicly disclosed for either, and RSCs don't file accounts. These distinctions concern the specified public-disclosure requirements; they aren't a reason to omit ownership information from a bank or compliance review. 1

Choose the form after establishing the legal requirements of your intended structure. A preference about public visibility is one consideration in that decision, not a substitute for the assessment of eligibility and obligations. Keep the actual owners and control arrangements clear in your internal file.

The tax exemption needs its own analysis

For free-zone purposes, holding shares and other securities for investment is a Qualifying Activity. The shares must be held for an uninterrupted period of at least twelve months to be treated as held for investment purposes. Ministerial Decision 229 of 2025 governs the activity list, replacing MD 265 of 2023 with effect from June 1, 2023. 3, 3

Participation exemption is a separate test. The FTA's conditions include an ownership or acquisition-cost threshold, a twelve-month holding period or intention, a subsidiary tax condition, rights to profits and liquidation proceeds, and an asset-composition condition. The subsidiary-tax requirement is generally at least 9%, with specified treatments for certain entities. A holding-company licence doesn't satisfy all those conditions by itself. 4

Map the relevant exemption to each proposed subsidiary. Record which conditions are met and which need evidence before treating a dividend or gain as exempt. Keep any treaty question separate and country-specific; the location of the holding company alone doesn't complete that analysis.

US owners still need the US ownership review

The December 2025 Form 5471 instructions define a US shareholder using a 10% voting-power or value threshold, including direct, indirect and constructive ownership. A foreign corporation whose US shareholders own more than 50% meets the CFC ownership test. Your ADGM company therefore needs a US classification and reporting assessment alongside its UAE setup. 5, 5

What this means for you

A holding layer is useful only when its function, tax treatment and upkeep are understood. Establish the ownership and reporting position first. Then evaluate the entity's place in your banking, succession or business-ownership plan without assuming that incorporation supplies an automatic exemption.

What to do this month

  • Draw the current and proposed ownership charts. Mark the purpose of each transfer and which assets or subsidiaries would move under the new holding company.
  • Obtain an itemized SPV proposal covering the authority fees, provider, registered office and annual responsibilities. Confirm the current fee schedule before accepting it.
  • Build a condition-by-condition tax review for each subsidiary. Attach the evidence for ownership, holding period and tax treatment rather than relying on a general exemption label.
  • Assign the UAE and US reporting work before formation. Keep the responsible people, required records and filing dates in the same implementation brief.

The FNC angle

Once the compliance base is clear, FNC can help frame the holding company's role in the wider structure. The discussion should connect ownership purpose with the banking and operational requirements of the group. Start with the chart and the decisions it must support. Choose the vehicle after that work, rather than adding an SPV because its registration process is convenient.
